Membership Agreement

Edinpharm’s Current Membership Agreement entails the following:

The Membership Agreement is an agreement between “the Applicant” and Edinpharm Ltd.

The Applicant undertakes to be compliant to the Terms and Conditions as outlined below. By becoming an Edinpharm member the Applicant agrees to this Membership Agreement and its terms and conditions. This agreement is binding for the Applicant and their pharmacy/ies at the time of joining, as well as any associated pharmacies accepted for membership by the Company at a later date. This agreement means that the Applicant enters into a contract with Edinpharm Ltd., which includes agreeing to Edinpharm Ltd.’s data protection policy (a copy can be provided on request).

 

Terms and Conditions

Please read these Terms and Conditions carefully before signing the Membership Agreement. If the Applicant is found in breach of these terms, this may lead to expulsion from membership.

  • The applicant agrees:
    • to be bound by the provisions of the Company’s Memorandum and Articles of Association (a copy will be provided on request);
    • to pay all requisite fees, subscriptions and charges applicable to membership in respect of each pharmacy operated;
    • to give the Company 30 days notice should the Applicant wish to terminate their membership or forfeit all their claims to any outstanding payments should they fail to do so;
    • to enter into a membership agreement with the Company for all pharmacy businesses in which the Applicant has a significant business interest;
    • to be fully compliant in the Applicant’s pharmacy/ies usage of the Edinpharm Order Management System (OMS);
    • to comply with the terms of the Company’s partnership agreement with Numark, a division of Phoenix Healthcare Distribution Limited (as long as such agreement remains in place);
    • to not share any confidential material outwith the Company, such as price lists, deals with third party suppliers, etc.
    • to receive communication from the company on their provided (email) address/es.
  • Edinpharm Ltd. might provide links to third party websites or services that are not controlled by the Company. Edinpharm Ltd. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
  • Edinpharm Ltd. reserves the right, at the Company’s sole discretion, to modify or replace these Terms at any time and will try to provide at least 30 days’ notice prior to any new terms taking effect.
